These terms govern your use of the Verdifax website, documentation, dashboard, and API. By using the service you agree to be bound by them. If you do not agree, do not use the service.

1. The service

"Verdifax" is the deterministic execution and attestation platform described at verdifax.com, including the API, the dashboard, the documentation site, the SDKs, and the Verdifax Final Artifact (.VFA) format. "We", "us", and "our" refer to the Verdifax operator entity. "You" refers to the individual or organization accessing the service.

2. Eligibility

You may use Verdifax only if you have the legal capacity to enter into contracts in your jurisdiction, and only for purposes that are lawful in the jurisdictions in which you operate. Verdifax is not directed at children under 16.

3. Access and accounts

Access to the API requires an API key. API keys are scoped to the account that requested them and may not be transferred. You are responsible for keeping API keys confidential and for all activity that occurs under your keys. You must notify us immediately if you suspect a key has been compromised.

4. Acceptable use

You may not use Verdifax to: violate applicable law; infringe the intellectual-property or privacy rights of others; transmit malware; generate manifest hashes for content you have no right to attest; attempt to subvert the cryptographic verification chain; or interfere with the operation of the service. We reserve the right to suspend or terminate access for violations.

5. Your data

You retain all rights in the inputs you submit to the service. You grant us a limited license to process those inputs solely to provide the service. Verdifax is built so that raw inputs are not retained — only hashes, envelope identifiers, and sealed manifests persist. We do not use your inputs to train any model. 6. Verification scope

The Verdifax manifest hash certifies, with cryptographic strength, that the recorded execution actually happened, that it is reproducible, that the runtime was attested by hardware, that the run cannot be rewritten, and that an outsider can verify it without trusting us. The manifest hash does notcertify that the model's output is correct, fair, unbiased, or aligned.

7. Fees and billing

Use of the service may be subject to fees described in your order form or in pricing materials linked from your dashboard. Fees are exclusive of taxes. Failure to pay invoiced fees within thirty (30) days may result in suspension of service.

8. Intellectual property

The Verdifax software, documentation, designs, trademarks, and the Verdifax Final Artifact format are owned by us and are protected by intellectual-property law. We grant you a non-exclusive, non-transferable, revocable license to access and use the service for its intended purpose during the term. No other rights are granted by implication.

9. Open source components

Verdifax incorporates open-source software under the licenses listed in the dependency manifest published at verdifax.com/oss. Those components remain subject to their respective licenses.

10. Warranties and disclaimers

The service is provided "as is" to the maximum extent permitted by law. We do not warrant that the service will be uninterrupted, error-free, or fit for any particular purpose other than producing verifiable attestations of the runs you submit. Cryptographic guarantees are limited to those stated in the documentation.

11. Limitation of liability

To the maximum extent permitted by law, our aggregate liability arising out of or related to the service is limited to the amount paid by you to us in the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages.

12. Indemnification

You agree to indemnify and hold us harmless from claims arising out of your use of the service in violation of these terms or applicable law, including claims that the inputs you submitted infringed the rights of a third party.

13. Termination

You may stop using the service at any time. We may suspend or terminate your access if you breach these terms, if continued service would expose us to legal risk, or if you fail to pay fees when due. On termination, your right to access the service ends; sealed manifests already produced remain valid forever.

14. Changes

We may update these terms from time to time. Material changes will be posted on this page with an updated "Last updated" date and, for account-holders, notified by email. Continued use after the effective date constitutes acceptance.

15. Governing law

These terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. Disputes will be resolved in the state or federal courts located in Delaware, except where you are a consumer protected by mandatory law in your country of residence.
